Genie Vault Terms of Use for Open Beta Participants

Please read these Terms carefully before using Genie Vault

These Terms of Use (“Terms”) are between Identifyi Limited (“Identifyi”, “we”, “us” or “our”) and you.

Identifyi Limited is a company incorporated in England and Wales under company number 16017432, with its registered office at 25 Cabot Square, Canary Wharf, London, United Kingdom, E14 4QZ.

These Terms apply to your use of Genie Vault during the Open Beta. Genie Vault can be accessed through a mobile application and related services, features, dashboards, communications, support channels and beta participation activities that we make available from time to time.

Genie Vault is a digital personal data storage platform that helps people take control of their shopping data and turn it into something useful for them. We operate Genie Vault to securely store, process and help you use that data according to your choices and instructions.

Genie Vault works like a personal data vault for your shopping history. It allows you to collect and manage information about what you buy, where you buy it and how much you pay, for example through scanned paper receipts, uploaded receipt images, forwarded electronic receipts, online order confirmations or other supported beta submission methods.

Genie Vault also includes an AI-powered assistant, “Genie”. Genie helps you build and use your Vault by organising your purchase information, answering questions about your shopping data, generating insights and, where available, helping you understand relevant offers or beta activities.

1. Who these Terms apply to

These Terms apply to any individual who registers for, accesses or uses Genie Vault during the Open Beta.

By registering for, logging in to, accessing or using Genie Vault, you confirm that you accept these Terms and agree to comply with them.

If you do not agree to these Terms, you must not use Genie Vault.

You must be at least 18 years old to create or use a Genie Vault account during the Open Beta.

The Open Beta is currently intended for approved participants in the United Kingdom. We may restrict, suspend or refuse access if you do not meet the eligibility requirements for the Open Beta or if we are unable to verify your eligibility.

2. We may make changes to these Terms

We may amend these Terms from time to time.

When we make changes, we will take reasonable steps to notify you, for example through Genie Vault, by email, through an official beta communication channel or by making the updated Terms available in the app or on our website.

Your continued use of Genie Vault after the updated Terms take effect will be treated as your acceptance of the updated Terms.

If you do not agree to the updated Terms, you should stop using Genie Vault and may close your account in accordance with these Terms and our Privacy Policy.

3. Other terms and policies that may apply

These Terms should be read together with the following documents, where applicable:

  • our Privacy Policy, which explains how we collect, use, store and protect personal data;
  • any Open Beta participation instructions, activity instructions, onboarding materials or support guidance we provide;
  • the Genie Vault Open Beta Free Prize Draw Rules, if you choose to take part in the Free Prize Draw;
  • any additional terms, notices or consent flows that apply to specific beta activities, partner offer testing or optional features.

If there is any inconsistency between these Terms and the Genie Vault Open Beta Free Prize Draw Rules in relation to the Free Prize Draw, the Free Prize Draw Rules will apply to the Free Prize Draw.

4. Open Beta use of Genie Vault

You acknowledge that Genie Vault is being made available to you as part of an Open Beta.

The purpose of the Open Beta is to test, improve and develop Genie Vault with real users. This includes testing how users create a Vault, add receipts and purchase confirmations, interact with Genie, understand their shopping data, provide feedback, report issues and, where applicable, take part in beta activities, partner offer testing or Free Prize Draw participation.

Genie Vault is still being developed. During the Open Beta:

  • some features may be incomplete, experimental or unavailable;
  • some receipts, order confirmations or purchase records may not be read perfectly;
  • extracted purchase details may be incomplete or inaccurate;
  • Genie’s answers may sometimes be incomplete, inaccurate, delayed or in need of refinement;
  • features may change, be added, be removed or be temporarily unavailable;
  • performance may vary;
  • we may test different onboarding flows, messages, prompts, microquests, activities, insights, scoring or feedback mechanisms.

You agree that you are using Genie Vault in this Open Beta context and that the service may not operate in the same way as a final public release.

We may update, change, suspend, withdraw, restrict or replace any part of Genie Vault during the Open Beta to reflect changes to our services, product development, user needs, legal requirements, security requirements or business priorities. We will try to give reasonable notice of major changes where it is practical to do so.

5. Open Beta participation, feedback and support

As an Open Beta participant, you may be invited to provide feedback, complete surveys, take part in beta tasks, report issues, interact with Genie, join a beta community, submit screenshots or screen recordings, or provide other information that helps us understand and improve Genie Vault.

You agree to provide feedback and additional information about your use of Genie Vault where we reasonably request this as part of the Open Beta. Participation in specific feedback activities may be optional unless we state otherwise.

You acknowledge that we may use any feedback, suggestions, ideas, bug reports, comments, survey answers, feature requests or other beta feedback you provide to improve, develop, test, market and operate Genie Vault and our wider services.

You grant us a perpetual, irrevocable, worldwide, royalty-free licence to use, copy, modify, analyse, adapt, publish, create derivative works from and otherwise exploit your feedback for any lawful business, product development, research and development, operational or commercial purpose, without compensation or attribution to you.

This does not transfer ownership of your personal data to us, and our use of personal data remains subject to our Privacy Policy.

Support for Open Beta participants may be provided through the app, email, Discord, a support channel, helpdesk or any other official route we make available. We may change the support routes during the Open Beta.

6. Discord, beta community and Free Prize Draw participation

You may be able to create a Genie Vault account and use the Open Beta without joining Discord or another beta community.

However, Discord or another official beta community may be used for Open Beta support, feedback tasks, beta activities, community updates, issue reporting, Free Prize Draw confirmation, winner communication and other Open Beta participation activities.

Participation in the Genie Vault Open Beta Free Prize Draw is subject to the separate Genie Vault Open Beta Free Prize Draw Rules.

The Free Prize Draw is not a receipt-rewards programme. Genie Vault is not a programme that pays users for uploading receipts. Free Prize Draw entries, where available, are designed to reward meaningful Open Beta participation, such as creating a Vault, completing onboarding, interacting with Genie, joining the beta community, completing surveys or microquests, giving useful feedback, reporting quality bugs and referring eligible activated users.

No purchase is necessary to enter the Free Prize Draw. You should not make any purchase from Genie Vault, any retailer or any third party for the purpose of entering, increasing your entries or improving your chances of winning.

Uploading more receipts on its own does not automatically earn more Free Prize Draw entries unless this is expressly stated in the Free Prize Draw Rules, dashboard, beta community or relevant activity instructions.

Where the Free Prize Draw Rules require you to join the official Genie Vault Beta Discord community, complete a confirmation form or provide information to match your Discord account with your approved Open Beta participant record, you must complete those steps before you are eligible to earn entries or take part in the Free Prize Draw.

We may reject, void, remove or correct Free Prize Draw entries in accordance with the Free Prize Draw Rules.

7. Partner offers and partner offer testing

During the Open Beta, Genie Vault may test partner-related features, offers, benefits, messages, campaigns, redemption flows or campaign measurement processes.

Where partner offer testing is made available, it is intended to test whether structured shopping behaviour held in Genie Vault can help selected retail advertisers or partners create more relevant offers, benefits or information for users.

Partner offer testing is not based on selling your personal data.

Unless otherwise explained to you in a specific notice, consent flow or Privacy Policy update:

  • partners do not receive direct access to your full Genie Vault;
  • partners do not receive your raw receipt images, forwarded emails, digital receipt files or full purchase history through campaign discovery;
  • partners do not browse your Vault;
  • offers are delivered through Genie Vault or Genie rather than through unrestricted partner access to your Vault;
  • you remain free to ignore, decline or redeem an offer;
  • if you choose to redeem an offer with a partner, that partner may be able to identify you within its own checkout, account, loyalty, payment, online store or point-of-sale environment;
  • redemption with a partner does not give that partner access to your full Genie Vault.

We may use structured information, derived insights, campaign identifiers, offer interaction data, receipt confirmation data, redemption confirmation data and other limited campaign-related information to deliver, test, measure and improve partner offers, subject to our Privacy Policy and any applicable consent or transparency requirements.

We may also use aggregated, de-identified or pseudonymous information to understand whether partner offer testing is working, to improve campaign relevance, to prevent fraud, to maintain the service and to report campaign performance in a controlled and proportionate way.

Where required, we will provide additional information, notices or choices in relation to partner offer testing.

8. Genie, AI outputs and information in Genie Vault

Genie is an AI-powered assistant designed to help you understand and use the information stored in your Genie Vault.

Genie may help with:

  • organising receipts and purchase information;
  • answering questions about your Vault;
  • summarising spending, retailers, categories, products or purchase patterns;
  • explaining repeat purchases or changes over time;
  • helping you understand receipt details;
  • supporting beta activities or microquests;
  • presenting or explaining offers, where available.

Genie’s outputs are provided for general information and product-support purposes only. They are not professional advice.

Genie does not provide financial, legal, tax, medical, nutritional, accounting or other professional advice. You should not rely on Genie as a substitute for professional or specialist advice.

Genie’s answers are based on the information available in your Vault, the current capabilities of the system and the context available at the time. Genie may make mistakes, omit relevant information, misunderstand data, rely on incomplete data or generate outputs that are inaccurate, incomplete or out of date.

You remain responsible for any decisions you make based on information provided through Genie Vault or Genie.

We do not guarantee that any insight, recommendation, reminder, offer, saving, comparison, price indication, category label, receipt extraction, product match or AI-generated output will be accurate, complete, suitable for you or available at any particular time.

9. Genie Vault is provided free of charge during the Open Beta

Genie Vault is made available to approved Open Beta participants free of charge during the Open Beta.

We may change the availability, eligibility requirements, features, access model, commercial model or pricing of Genie Vault in the future. If we introduce paid features or charges, we will provide relevant information before those charges apply.

You are responsible for your own internet, mobile network, device, data, communication and other costs associated with accessing or using Genie Vault, Discord, email or any related services.

10. Your obligations when using Genie Vault

You must comply with these Terms and any reasonable instructions, rules, activity requirements or support guidance we provide.

You must:

  • use Genie Vault only for lawful purposes;
  • provide accurate information when registering, verifying eligibility, using the app, joining the beta community or taking part in beta activities;
  • keep your login credentials, verification codes and access credentials secure;
  • use only your own approved account;
  • tell us promptly if you believe your account has been compromised;
  • submit only receipts, order confirmations, purchase records or other materials that belong to you or your household, or that you otherwise have the right to submit;
  • make reasonable efforts not to submit duplicate, manipulated, misleading, false, stolen or unauthorised materials;
  • comply with the Free Prize Draw Rules where you take part in the Free Prize Draw;
  • comply with any Discord, community or support-channel rules where you use those channels.

You must not:

  • reproduce, duplicate, copy, re-sell or exploit any part of Genie Vault except as permitted by these Terms or agreed by us in writing;
  • create a false identity or submit inaccurate, false or misleading information;
  • allow another person to use your account;
  • create or use multiple accounts to manipulate beta participation, Free Prize Draw entries, offers, referrals, scores or activity records;
  • submit receipts, order confirmations, screenshots, screen recordings or other materials that do not belong to you or your household, unless you have the necessary rights and permissions;
  • submit altered, fabricated, misleading, duplicate or manipulated purchase evidence;
  • make purchases for the purpose of increasing Free Prize Draw entries, offer eligibility, beta activity status or any score;
  • use bots, scripts, automation, artificial activity, click farms or similar methods to interact with Genie Vault, generate activity, submit entries, refer users or manipulate the Open Beta;
  • use Genie Vault in any way that breaches a legal duty owed to a third party, including a contractual duty or duty of confidence;
  • upload, store, transmit or share material that is unlawful, dishonest, threatening, defamatory, obscene, discriminatory, racially offensive, abusive, harassing or otherwise inappropriate;
  • upload, store, transmit or share material that infringes any third-party intellectual property rights;
  • knowingly introduce viruses, trojans, worms, logic bombs or other malicious or technologically harmful material;
  • damage, disable, overburden, impair, attack, disrupt or compromise Genie Vault or any related system;
  • attempt to gain unauthorised access to Genie Vault, other users’ Vaults, our systems, partner systems or any connected infrastructure;
  • use robots, spiders, crawlers, scrapers or other automated tools to search, scrape, extract, deep link, index, copy or harvest content or personal information from Genie Vault;
  • reverse engineer, decompile, disassemble, decipher, adapt, translate or modify any part of Genie Vault or related software, except to the extent that applicable law prevents us from restricting this;
  • attempt to extract confidential system information, security information, prompts, model instructions, source code, non-public technical details or fraud-prevention logic;
  • conduct fraudulent, abusive, unfair or manipulative activity;
  • cause or encourage any third party to engage in any restricted activity above.

11. Uploading data and content

You are responsible for the quality, accuracy, lawfulness and appropriateness of any content, information, receipts, images, files, emails, order confirmations, feedback, screenshots, screen recordings, messages or other data you submit or make available through Genie Vault.

You represent and warrant that you own or have the necessary rights, consents and permissions to submit, upload, forward or otherwise make available any such content or data and to allow us to use it as described in these Terms and our Privacy Policy.

You must not imply that any content, receipt, order confirmation, feedback, image or other material you submit is sponsored, endorsed or verified by us unless we have expressly confirmed this in writing.

You understand that submitting low-quality, unclear, incomplete, late, duplicate, inaccurate or misleading materials may reduce the usefulness of your Vault, affect the accuracy of Genie’s outputs, affect beta activity validation, affect offer relevance or result in activity, entries or materials being rejected, voided or disregarded.

We may reject, remove, disregard, mark as incomplete, flag for review or delete content or data where we reasonably believe that it breaches these Terms, is inaccurate, unlawful, unauthorised, unsafe, duplicate, manipulated, fraudulent, technically unsuitable or otherwise inappropriate for Genie Vault.

12. Personal data

We will use your personal data in accordance with our Privacy Policy.

Our Privacy Policy explains what personal data we collect, how we collect it, why we process it, who we may share it with, how long we retain it and what rights you have.

Personal data processed through Genie Vault may include account information, contact information, device and technical data, purchase data, receipt data, order confirmation data, structured Vault data, derived insights, partner interaction data, support data, feedback data and other information described in the Privacy Policy.

We do not sell your personal data.

Where we use service providers, infrastructure providers, AI service providers, analytics providers, professional advisers, payment providers, partners, regulators or other third parties, we do so in accordance with the Privacy Policy and applicable data protection laws.

Where partner-related features or offers are made available, any partner-related data use will be handled in accordance with the Privacy Policy, these Terms and any applicable notices, consent flows or feature-specific explanations.

You can exercise your data protection rights as set out in the Privacy Policy.

13. Your rights in content and data you submit

You retain any ownership rights you have in content that you upload, submit, forward or otherwise make available through Genie Vault.

Nothing in these Terms transfers ownership of your personal data to us.

However, you grant us a worldwide, royalty-free, non-exclusive licence to host, store, copy, process, scan, read, extract, structure, organise, categorise, analyse, derive insights from, display, transmit, disclose, modify and otherwise use your submitted content and data to the extent necessary or useful to:

  • provide, operate, maintain and secure Genie Vault;
  • create, manage and improve your Vault;
  • process receipts, order confirmations and purchase data;
  • provide Genie and AI-assisted features;
  • generate insights and outputs for you;
  • test, measure and improve Genie Vault during the Open Beta;
  • provide support and respond to feedback or issues;
  • run beta activities, surveys, microquests, quality checks, fraud prevention and operational analysis;
  • deliver, test, measure and improve partner-related features or offers where applicable;
  • comply with these Terms, the Privacy Policy, the Free Prize Draw Rules and applicable laws;
  • maintain a functioning, secure and reliable service;
  • improve features, fix bugs, train or evaluate systems, and conduct research and development.

This licence lasts for as long as needed for the purposes described above, subject to your rights under applicable data protection laws and the retention rules in our Privacy Policy.

We may use aggregated, anonymised, de-identified or statistical information created from or relating to use of Genie Vault for analytics, product improvement, research, business planning, reporting, security, fraud prevention and other lawful purposes, provided that such information does not identify you.

14. Our intellectual property

We are the owner or licensee of all intellectual property rights in Genie Vault, including the app, platform, software, source code, object code, databases, models, workflows, prompts, designs, text, graphics, logos, icons, audio, video, documentation, product names, branding, algorithms, interfaces and related materials.

You do not acquire any ownership rights in Genie Vault or our intellectual property.

We grant you a limited, personal, non-exclusive, non-transferable, revocable licence to access and use Genie Vault during the Open Beta in accordance with these Terms.

Your right to use Genie Vault is limited to the use expressly permitted by these Terms and any instructions we provide.

You must not use our name, logo, branding, screenshots, app content, product materials or other intellectual property for marketing, publication, commercial activity or public communication without our prior written permission, except where we have expressly provided shareable beta materials or creator materials for that purpose.

15. Third-party services, links and platforms

Genie Vault may include links, integrations, references or access to third-party websites, apps, services, platforms, communities or resources.

These may include, for example, Discord, app stores, email providers, retailers, partner websites, payment providers, prize fulfilment providers, analytics tools or support tools.

We are not responsible for third-party websites, apps, services, platforms or resources. We do not control them and are not responsible for their content, availability, terms, privacy policies, security, actions or omissions.

You should review any third-party terms and privacy policies before using third-party services.

Links to third-party services do not imply our approval or endorsement of those services unless we expressly say so.

16. Availability, security and “as is” beta service

Genie Vault is provided during the Open Beta on an “as is” and “as available” basis.

To the fullest extent permitted by law, we make no guarantees or warranties that Genie Vault:

  • will always be available;
  • will be uninterrupted, error-free or secure;
  • will be free from bugs, viruses, vulnerabilities or harmful components;
  • will read every receipt or order confirmation correctly;
  • will generate accurate or complete purchase data;
  • will provide accurate, complete or up-to-date AI outputs;
  • will provide any particular insight, offer, reward, saving or benefit;
  • will meet your expectations or requirements;
  • will continue after the Open Beta in the same form or at all.

We will take reasonable steps to operate Genie Vault securely and responsibly, but you are responsible for configuring your own device, operating system, app version, internet connection, security settings and technology to access Genie Vault safely.

You should use your own virus protection, device security and account security measures.

We may suspend, withdraw or restrict the availability of all or part of Genie Vault for business, operational, legal, security, technical or product development reasons. We will try to give reasonable notice of material suspension or withdrawal where practical.

17. Do not rely on information in Genie Vault as professional advice

Information, content, insights, summaries, AI outputs, prompts, notifications, reminders, offers or other materials available through Genie Vault are provided for general information and product-support purposes only.

They are not intended to amount to advice on which you should solely rely.

You should obtain professional or specialist advice before taking, or refraining from taking, any action based on information available through Genie Vault where professional advice would be appropriate.

Although we make reasonable efforts to improve Genie Vault, we make no representation, warranty or guarantee that information or content available through Genie Vault is accurate, complete, reliable, suitable for your needs or up to date.

18. User-generated content and community materials

Genie Vault may include information, content, feedback, comments, messages or materials uploaded, submitted or shared by users, beta participants, community members or other third parties.

This information and these materials may not have been verified or approved by us.

The views expressed by other users or third parties do not represent our views, values or advice.

We may moderate, remove, restrict, report or retain user-generated content where we reasonably consider it necessary for safety, compliance, security, support, legal, operational or community-management reasons.

19. Breach of these Terms

If we consider that a breach of these Terms has occurred, we may take such action as we reasonably consider appropriate.

This may include:

  • issuing a warning to you;
  • removing or rejecting content, data, receipts, entries, feedback or activity records;
  • voiding, correcting or rejecting beta activity records or Free Prize Draw entries in accordance with the Free Prize Draw Rules;
  • suspending or restricting access to Genie Vault;
  • temporarily or permanently withdrawing your right to use Genie Vault;
  • terminating or closing your account;
  • removing you from beta activities, partner offer testing, the beta community or the Free Prize Draw;
  • reporting unlawful activity to relevant authorities;
  • taking legal action against you;
  • seeking reimbursement for reasonable losses, costs or expenses caused by your breach, where permitted by law.

We exclude our liability for actions we may take in response to breaches of these Terms to the fullest extent permitted by law.

The actions described above are not exhaustive, and we may take any other action we reasonably consider appropriate.

20. Termination, account closure and the end of the Open Beta

You may stop using Genie Vault at any time.

You may request to close your account or delete your Vault using the account closure or deletion route we make available in the app, support flow or Privacy Policy.

We may suspend, restrict or terminate your account at any time if:

  • you breach these Terms;
  • you no longer meet Open Beta eligibility requirements;
  • we reasonably suspect fraud, abuse, manipulation, duplicate accounts or misuse;
  • we need to do so for legal, security, operational or product reasons;
  • the Open Beta ends or changes;
  • we withdraw or replace the relevant version of Genie Vault.

At the end of the Open Beta, we may:

  • continue Genie Vault into a later beta, public release or production environment;
  • migrate eligible accounts or Vaults into a later environment;
  • ask you to accept updated terms;
  • ask you to create a new account or Vault;
  • close or delete beta accounts or Vaults;
  • suspend access while we review, migrate, export or delete data;
  • withdraw the service.

We will try to provide reasonable notice of material account migration, closure or deletion where practical.

Your account will not necessarily be automatically deleted immediately at the end of the Open Beta unless we tell you that this will happen. Any deletion, retention, export or closure of personal data will be handled in accordance with our Privacy Policy and applicable law.

When your account is closed or terminated:

  • your access to Genie Vault may be disabled;
  • you may no longer be able to access your Vault, receipts, purchase data, Genie outputs, beta activity records or related content;
  • we may retain certain information for a limited period where required or permitted for legal, regulatory, security, audit, fraud prevention, dispute, tax, accounting, Free Prize Draw, support or operational purposes;
  • personal data will be handled in accordance with our Privacy Policy.

You should keep your own copies of receipts, order confirmations, purchase records and other materials that you need outside Genie Vault. Genie Vault should not be treated as your only record of any purchase, warranty, return, expense, tax record or legal document.

Termination or closure of your account does not affect any rights, remedies, obligations or liabilities that have accrued before termination, including any right to claim damages for breach of these Terms.

21. Liability

Nothing in these Terms excludes or limits our liability for:

  • death or personal injury caused by our negligence;
  • fraud or fraudulent misrepresentation;
  • any liability that cannot legally be excluded or limited.

Subject to the above, your use of Genie Vault during the Open Beta is at your own risk.

To the fullest extent permitted by law, we will not be liable for:

  • loss of profits, sales, business, revenue or anticipated savings;
  • business interruption;
  • loss of business opportunity, goodwill or reputation;
  • loss or corruption of data, except where liability cannot be excluded by law;
  • loss caused by your failure to keep copies of receipts, purchase records, order confirmations or other materials outside Genie Vault;
  • loss caused by inaccurate, incomplete, delayed or unavailable receipt processing, purchase extraction, categorisation, insights, AI outputs, reminders, offers or other beta features;
  • loss caused by your reliance on Genie Vault as professional advice;
  • loss caused by third-party services, retailers, partners, platforms, app stores, Discord, email providers, payment providers or other external services;
  • indirect or consequential loss.

We do not guarantee that Genie Vault will generate any particular saving, offer, reward, insight, benefit, Free Prize Draw entry, prize, result or outcome.

Where you are using Genie Vault as a consumer, nothing in these Terms affects your statutory rights.

22. Transfer of our rights and obligations

We may transfer our rights and obligations under these Terms to another organisation.

We will tell you in writing if this happens and will ensure that the transfer does not affect your rights under these Terms.

You may not transfer your rights or obligations under these Terms to another person without our prior written consent.

23. General

If we choose not to exercise any right under these Terms on one occasion, this does not prevent us from exercising that right on another occasion.

If any part of these Terms is held by a court or competent authority to be invalid, unlawful or unenforceable, that part will be treated as modified or deleted to the minimum extent necessary, and the rest of the Terms will continue in force.

These Terms do not give rights to any third party to enforce any term, except where applicable law provides otherwise.

While Genie Vault may technically be accessible outside the United Kingdom, we do not represent that Genie Vault or any content available through it is appropriate, lawful or available for use in locations outside the United Kingdom.

We may restrict access to Genie Vault from certain locations where we consider this necessary for legal, operational, security or product reasons.

24. Which country’s laws apply to any disputes?

These Terms, their subject matter and their formation are governed by the laws of England and Wales.

The courts of England and Wales will have exclusive jurisdiction, except that:

  • if you are a resident of Scotland, you may also bring proceedings in Scotland;
  • if you are a resident of Northern Ireland, you may also bring proceedings in Northern Ireland;
  • if mandatory consumer law gives you additional rights in the part of the United Kingdom where you live, those rights are not affected.
