PLEASE READ THESE TERMS CAREFULLY BEFORE USING GENIE VAULT
These are the Terms of Use (“Terms”) between Identifyi Limited (“Identifyi”, “us”, “we”, or “our”) a company incorporated in England and Wales under company number 16017432 and have our registered office at 25 Cabot Square, Canary Wharf, London, United Kingdom, E14 4QZ and you in relation to the Genie Vault which can be accessed via a mobile application.
Genie Vault is a digital personal data storage platform that helps people take control of their shopping data and turn it into something useful for them. We operate Genie Vault to securely store, process, and help you use that data according to your instructions.
Genie Vault works like a personal data vault for your shopping history. It allows you to collect and manage information about what you buy, where you buy it, and how much you pay — for example through scanned paper receipts, forwarded electronic receipts, or direct connections with participating retailers.
These Terms apply to any individual who registers for an account with us Genie Vault. By using, registering or logging in to use the Genie Vault, you confirm that you accept these Terms and agree to comply with them. If you do not agree to these Terms, you must not use Genie Vault.
We amend these Terms from time to time. When we have done so, we will notify you through Genie Vault. You acknowledge and agree that your continued use of Genie Vault will be treated as your acceptance of any such amended Terms.

You acknowledge that you are participating in a trial of a beta version of Genie Vault. We may update and change Genie Vault from time to time to reflect changes to our services, our users' needs and our business priorities. We will try to give you reasonable notice of any major changes.
The trial will be carried out in accordance with the documents available at a Discord server Genie Vault Beta, which sets out a description of the trial and user instructions (“Documentation”). You acknowledge that your Account will be deleted after the relevant trial period.
You agree to provide regular feedback about Genie Vault and to provide such additional information on the use of Genie Vault as we may reasonably request.
You acknowledge that we are entitled on a perpetual and irrevocable basis to use any feedback provided by you in relation to the further development of Genie Vault and for all of our other research and development purposes and no compensation or attribution shall be due in relation to our use of the feedback, including where any feedback is used in relation to any research and development project in relation to which intellectual property rights are created.
We may pay a reward for your participation in the trial, if you meet the minimum participation targets set out in the Documentation. Details of any applicable rewards will be set out in the Documentation.
Genie Vault is provided on an ‘as is’ basis. We make no guarantees or warranties regarding the performance of Genie Vault and all implied warranties and conditions are excluded to the fullest extent permitted by law.
Genie Vault is made available to you free of charge. We may suspend or withdraw or restrict the availability of all or any part of our Genie Vault for business and operational reasons. We will try to give you reasonable notice of any suspension or withdrawal.
You must comply with your obligations as set out in these Terms, as applicable.
You are solely responsible for the quality and accuracy of any data and/or content that you upload. As part of your use of Genie Vault, you may submit or make available certain content, information and data and you are responsible for any such information uploaded. You assume all risks associated with any data uploaded, including anyone’s reliance on its quality, accuracy, reliability, appropriateness, or any disclosure that makes you or anyone else personally identifiable. You represent and warrant that you own or have the necessary rights, consents, and permissions to use and authorise the use of such data as described herein. You may not imply that data uploaded by you are in any way sponsored or endorsed by us.
Where we are provided with personal data, this will be held within the Genie Vault and we shall have overall responsibility for the control of and access to such personal data. We will only use your personal information as set out in our privacy policy.
We are the owner or the licensee of all intellectual property rights in Genie Vault (including in relation to text, graphics, logos, icons, sound recordings, software and source code). You shall not acquire in any way any rights of ownership in such or intellectual property rights. We hereby grant to you a non-transferable, non-exclusive, revocable licence to use Genie Vault in accordance with these Terms. Your right to use such intellectual property is limited to the extent that such use arises automatically in the use of the Genie Vault in accordance with these Terms.
You retain all of your ownership rights in the content you upload to the Genie Vault through your account or any feedback you provide us with in respect of Genie Vault, but we are entitled to access and use the content you provide to us through Genie Vault in order to conduct the trial or comply with our obligations under these Terms. You hereby grant us a royalty-free, non-transferable, non-exclusive licence to use, disclose, modify, copy and other otherwise utilise such content to the extent necessary to for us to conduct the trial, for the purposes of our own analysis and research and development, and to comply with our obligations under these Terms, to maintain a functioning Genie Vault or to enhance features or fix bugs within the Genie Vault.
Where Genie Vault contains links to other websites and resources provided by third parties, these links are provided for your information only. Such links should not be interpreted as approval by us of those linked websites or information you may obtain from them. We have no control over the contents of those websites or resources.
The content on Genie Vault is provided for general information only. It is not intended to amount to advice on which you should rely. You must obtain professional or specialist advice before taking, or refraining from, any action on the basis of the content on Genie Vault.
Although we make reasonable efforts to update the information on Genie Vault, we make no representations, warranties or guarantees, whether express or implied, that the content on Genie Vault is accurate, complete or up to date.
Genie Vault may include information and materials uploaded by third parties. This information and these materials have not been verified or approved by us. The views expressed by other users on our site do not represent our views or values.
When we consider that a breach of these Terms has occurred, we may take such action as we deem appropriate, including all or any of the following actions:
We exclude our liability for all action we may take in response to breaches of these Terms. The actions we may take are not limited to those described above, and we may take any other action we reasonably deem appropriate.
You acknowledge that your any account you created on our Genie Vault (“Account”) will be deleted after the relevant trial period.
Prior to the end of the relevant trial period, we and you both may terminate your Account at any time by giving notice in writing or in our mobile application.
Upon termination, we will disable your access to your Account, and you will no longer have access to the Services, and any content associated with such.
Termination of your Account does not affect or prejudice any rights, remedies, obligations or liabilities of both of us that have accrued up to the date of termination, including the right to claim damages in respect of any breach of the Terms, which existed at or before the date of termination.

Otherwise, your use of Genie Vault is entirely at your own risk. To the fullest extent permitted by law we will not be liable for any loss or damage (including any loss of data), however caused (including through negligence), which any person or entity may directly or indirectly suffer in connection with or arising from your use of Genie Vault or any linked content or your use of or reliance on information contained on or accessed through Genie Vault.
If we choose to waive any particular right which we have under these Terms on any particular occasion this does not prevent us from exercising that right on another occasion.
If any part of these Terms is held by a court of law (or similar forum) to be invalid or unenforceable, this shall not affect the validity or enforceability of the rest of these Terms.
We may transfer our rights and obligations under these terms to another organisation. We will always tell you in writing if this happens and we will ensure that the transfer will not affect your rights under the contract.
While Genie Vault is accessible globally, we do not represent that content available on or through our Genie Vault is appropriate for use or available in locations other than the United Kingdom or the European Union.
Please note that these terms of service, their subject matter and their formation, are governed by the laws of England or Wales. We both agree that the courts of England or Wales will have exclusive jurisdiction, except that if you are a resident of Northern Ireland, you may also bring proceedings in Northern Ireland, and if you are a resident of Scotland, you may also bring proceedings in Scotland.
